Terms of Service

1. Agreement

By creating an account or using VirtuLOso (the "Service"), operated by Maureen Cook, LLC ("Company," "we," "us"), you agree to these Terms of Service. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. The Service

VirtuLOso is a B2B training platform for mortgage teams. It provides AI-powered call simulation, guidelines quizzes, team progress tracking, and related features (collectively, the "Service"). We reserve the right to modify or discontinue any feature at any time with reasonable notice.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. Accounts may not be shared between individuals.

Admins who sign up receive a 3-day free trial with limited session credits. After the trial period, continued access requires an active paid subscription.

4. Subscriptions and Billing

Paid plans are billed monthly on a per-seat basis. Prices are shown at checkout and may be updated with 30 days' notice. Seats are charged based on active and pending-removal members; one coach seat is included free for every 50 rep seats. All fees are non-refundable except where required by law.

Failure to pay may result in suspension of access. You may cancel at any time; access continues through the end of the current billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, scrape, or extract AI model outputs at scale
• Share login credentials or circumvent seat-based licensing
• Upload content that is defamatory, harassing, or infringes third-party rights
• Interfere with the security or integrity of the Service

6. Intellectual Property

All content, software, and AI models within the Service are owned by or licensed to Maureen Cook, LLC. You retain ownership of any data you upload. You grant us a limited license to process your data solely to provide the Service.

7. Confidentiality and Data

We treat your company's data as confidential. We do not sell or share your data with third parties except as necessary to operate the Service (e.g., cloud infrastructure, payment processing) or as required by law. See our Privacy Policy for details.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES AND SHOULD NOT BE RELIED ON AS LEGAL OR COMPLIANCE ADVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAUREEN COOK, LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, or if required by law. You may terminate your account at any time by canceling your subscription and contacting us to delete your data.

11. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except where prohibited by law.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
